LOAN: Lender has made or intends to make a loan to Landlord in the principal amount of [Loan Amount] (the "Loan"), secured by a mortgage, deed of trust, or security instrument (the "Mortgage") encumbering the Property.
RECITALS:
A. Lender requires, as a condition of making the Loan, that Tenant subordinate its interest in the Lease to the lien of the Mortgage.
B. Tenant is willing to subordinate its interest in the Lease, provided that Lender agrees not to disturb Tenant's possession under the Lease so long as Tenant is not in default thereunder.
C. The parties desire to set forth their respective rights and obligations with respect to the Lease, the Mortgage, and the Property.
