SECTION 1 — PURPOSE
The purpose of this Agreement is to establish a mutually beneficial relationship whereby Property Finder will identify and refer potential real estate investment opportunities to Investor in exchange for a finder's fee upon successful closing. Property Finder agrees to locate off-market and distressed property deals that align with Investor's investment criteria and investment strategy.

SECTION 2 — DEFINITION OF A QUALIFYING DEAL
A "Qualifying Deal" is defined as a property referral that meets all of the following criteria:
(a) The property is an off-market or distressed opportunity not previously known to or identified by Investor prior to Property Finder's submission;
(b) The property is submitted by Property Finder using the Deal Submission Form provided by Investor, which must be completed in full with all required information;
(c) The submission includes the property address, owner contact information, estimated property condition, any known asking price or seller motivation, and any additional details relevant to Investor's evaluation;
(d) Investor actually enters into a purchase agreement and successfully closes on the purchase of the property within [X] months of the initial referral; and
(e) The deal closes and funds with Investor as the named purchaser on the recorded deed.
Deals that do not meet all five criteria above shall not be considered Qualifying Deals and shall not entitle Property Finder to a finder's fee.
